Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of SORAA (the "Service"), operated by Soraa LLC ("Soraa," "we," "us"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What SORAA is

SORAA is a marketplace that connects brands with micro-influencer creators for paid content collaborations. We help both sides discover aligned matches, message each other, and coordinate a collaboration from initial contact through completion. SORAA is not a talent agency, employer, or party to any agreement a brand and creator reach with each other.

3. Eligibility

You must be at least 18 years old, and able to form a binding contract in your jurisdiction, to use SORAA. If you're using SORAA on behalf of a company, you represent that you're authorized to bind that company to these Terms.

4. Accounts and roles

When you sign up, you choose a role — brand or creator — that determines what you see and what you can do on the platform. You're responsible for the accuracy of the information in your account and for keeping your login credentials secure. You're responsible for all activity under your account.

5. Conduct

You agree not to:

  • Misrepresent your identity, your audience, or your business.
  • Use the Service to harass, defraud, or mislead another user.
  • Circumvent the platform to avoid the purpose it's built for.
  • Scrape, reverse-engineer, or interfere with the Service's normal operation.
  • Submit dishonest or manipulated reviews.

6. Connecting Instagram or TikTok

Creators may optionally connect an Instagram or TikTok account to automatically sync real follower, following, and post counts into their profile. Doing so is subject to that platform's own terms of service in addition to these Terms. You can disconnect a connected account at any time from your profile. Connecting an account is entirely optional — you can also enter your stats manually.

7. Payments

SORAA does not process, hold, escrow, or guarantee any payment between a brand and a creator. Rate ranges shown on a profile are informational only. Brands and creators are solely responsible for agreeing to and fulfilling payment terms directly with each other. Soraa is not a party to, and assumes no liability for, any payment dispute between users.

8. Content and intellectual property

You retain ownership of the content you upload or link to on SORAA (profile info, portfolio links, campaign briefs, messages). By posting it, you grant Soraa a limited, non-exclusive license to display that content within the Service to the other side of the marketplace, solely to facilitate matching and collaboration.

9. Reviews and reputation

After a collaboration is marked complete, both sides may leave a review of the other. Reviews are only revealed once both sides have submitted, or after a set window has passed. Reviews must reflect your genuine experience.

10. Termination

We may suspend or terminate your account if you violate these Terms or misuse the Service. You may stop using SORAA and request deletion of your account at any time by contacting us.

11. Disclaimers

The Service is provided "as is," without warranties of any kind. We don't guarantee that any match, collaboration, or outcome will meet your expectations, or that the Service will be uninterrupted or error-free.

12. Limitation of liability

To the maximum extent permitted by law, Soraa LLC is not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including disputes, lost income, or damages arising from a collaboration between a brand and a creator.

13. Governing law

These Terms are governed by the laws of [Your State], without regard to conflict-of-law principles.

14. Changes to these Terms

We may update these Terms from time to time. We'll update the effective date above when we do. Continued use of the Service after a change means you accept the updated Terms.
